Please read Section 19 carefully. It requires most disputes to be resolved by individual binding arbitration seated in Palm Beach County, Florida, and waives your right to participate in a class action lawsuit or class-wide arbitration.
These Terms and Conditions form a binding agreement between you and A1 Merchant Solutions LLC dba aiMerchantSolutions.net, a Florida limited liability company located at 6056 Kings Gate Circle, Delray Beach, FL 33484 ("the Company", "we", "us", "our"). They govern your access to and use of aiMerchantSolutions.net, the Neighborhood Advertising Network in store screens, the offers and coupon pages reached by scanning a network QR code, the advertiser and storekeeper portals, and all related services (together, the "Platform").
1. Acceptance of These Terms
1.1 By accessing the Platform, scanning a network QR code, claiming or redeeming an offer, subscribing to communications, or creating an account, you agree to these Terms and to the Privacy Policy, which is incorporated by reference.
1.2 If you do not agree, do not use the Platform.
1.3 If you use the Platform on behalf of a business, you represent that you are authorized to bind that business, and Company means both you and that business.
2. Definitions
A business that purchases advertising time on the network and posts offers through the Platform.
A retail location that hosts one or more network screens.
An individual who views a screen, scans a code, claims an offer, or subscribes to communications.
A coupon, discount, promotional code, consultation offer or other incentive posted by an Advertiser.
The location specific page reached by scanning the shared QR code displayed on a network screen.
The advertiser or storekeeper interface used to manage campaigns, locations and reporting.
Redemption Data: Scan, claim, redemption and campaign performance records generated through the Platform.
3. What the Platform Does and Does Not Do
3.1 The Company operates an advertising and offer delivery platform. The Company displays Advertiser content on screens, hosts Offers Pages, delivers coupon codes, verifies redemptions, and reports campaign performance.
3.2 The Company is not the seller of any product or service advertised on the Platform. The Advertiser is solely responsible for its goods and services, its pricing, its offer terms, honoring its Offers, fulfillment, warranties, returns, refunds, licensing and its own legal compliance.
3.3 The Company does not hold customer funds for Advertiser transactions and is not a party to any transaction between a Consumer and an Advertiser.
3.4 The Company does not guarantee category exclusivity, sales results, foot traffic, lead volume, redemption rates or any other commercial outcome unless a signed written agreement states otherwise.
4. Eligibility and Accounts
4.1 You must be at least 18 years of age to subscribe to communications, claim an Offer or hold an account.
4.2 You agree to provide accurate information and to keep it current. You may only submit a mobile number that belongs to you and that you are authorized to use.
4.3 You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at mike@aiMerchantSolutions.net of any unauthorized use.
5. Offers and Redemption
5.1 Unless the Offer states otherwise, each Offer is limited to 1 per person, has no cash value, is not transferable, is not redeemable for cash, cannot be combined with other discounts, and is not valid on gift card purchases.
5.2 Offers expire on the date shown and are void where prohibited. Offers may be modified, suspended or withdrawn at any time by the Advertiser or the Company.
5.3 Redemption is verified in person by the Advertiser or Host Location using the Platform verification page. The Company may void any claim it believes is duplicated, automated, fraudulent or obtained in violation of these Terms.
5.4 Any dispute regarding an Offer, including refusal to honor it, is between you and the Advertiser. The Company will provide reasonable assistance but has no obligation to provide a refund, credit or substitute.
6. Electronic Communications and Consent
6.1 Marketing communications by email, text message and telephone are optional and are collected through separate unchecked boxes at the point of signup. Agreeing to these Terms does not create marketing consent. Consent to marketing is never a condition of claiming an Offer or using the Platform.
6.2 A mobile number is required to claim an Offer. It is used to deliver your coupon code and to prevent duplicate redemptions. That delivery message is transactional and is sent whether or not you agree to receive marketing.
6.3 You may withdraw consent at any time. Reply STOP to any text message, use the unsubscribe link in any email, instruct our representative to stop calling, or email mike@aiMerchantSolutions.net. We honor withdrawal requests promptly and in all cases within 10 business days.
6.4 You consent to receive notices, agreements and disclosures from us electronically. Electronic delivery satisfies any legal requirement that such communications be in writing.
7. Text Message Program Terms
7.1 Program Description: The AI Merchant Solutions program sends offer alerts, coupon codes and local promotions to Consumers who opt in.
7.2 Message frequency varies. Message and data rates may apply. Your mobile carrier is not liable for delayed or undelivered messages.
7.3 Reply HELP for help or contact 561.722.3055. Reply STOP to cancel. After you reply STOP you will receive 1 confirmation message and no further marketing messages.
We do not sell, rent or share mobile numbers or text messaging opt in data with third parties or affiliates for their own marketing or promotional purposes.
7.5 Supported carriers may change without notice. The program may be modified or discontinued at any time.
8. Advertiser Terms
8.1 Advertisers are responsible for all content they submit, including claims, disclaimers, pricing, licensing numbers and any required regulatory language. Advertisers represent that they hold all rights necessary to use submitted logos, images, names and marks.
8.2 Advertisers must honor every Offer they publish, in accordance with its stated terms, for the full period the Offer is live.
8.3 The Company may reject, remove or pause any creative or Offer that it considers unlawful, deceptive, offensive, out of category, or damaging to the network, a Host Location or the Company.
8.4 Category exclusivity, where offered, is a commercial objective and is not guaranteed unless stated in a signed insertion order or agreement.
8.5 Advertisers may contact Consumers only where that Consumer has given consent to be contacted by that Advertiser, and remain solely responsible for their own compliance with the Telephone Consumer Protection Act, the CAN SPAM Act and all applicable privacy and marketing laws.
9. Host Location Terms
9.1 Host Locations agree to display the network screens in the agreed position, keep them powered and visible during business hours, allow reasonable access for service, and not obstruct, relocate, disable or alter the content or hardware without written approval.
9.2 Hardware remains the property of the Company or its designated owner unless a signed agreement states otherwise.
9.3 Host Locations agree to support in person verification of redemptions using the verification page provided.
10. Portal Access and Data Use Restrictions
10.1 Portal access is limited to authorized users of the account it is issued to.
10.2 Subscriber data, Redemption Data and analytics available in the Portal are confidential and are provided solely to operate your own campaigns and locations.
10.3 You may not export, copy, resell, rent, license or disclose that data outside the Platform, use it to build a competing product or list, or contact any Consumer who has not consented to receive communications from you.
10.4 Violation of this Section is grounds for immediate suspension without refund and for injunctive relief.
11. Fees, Billing and Refunds
11.1 Advertising fees, terms, flight dates and payment schedules are set in the applicable insertion order, agreement or online checkout.
11.2 Unless stated otherwise, fees are billed in advance, are not refundable once a flight begins, and prepaid term discounts are forfeited if the campaign is cancelled early.
11.3 Past due balances may accrue interest at the lesser of 1.5 percent per month or the maximum rate permitted by Florida law, plus costs of collection and reasonable attorney fees.
11.4 Deposits collected before hardware deployment are applied to the campaign and are not refundable once hardware is ordered.
12. Acceptable Use
You agree not to do any of the following:
- Submit false, stolen or unauthorized contact information, or claim Offers using numbers or identities that are not yours.
- Use bots, scripts, scrapers or automated means to access, claim or harvest Offers, pages or data.
- Duplicate, resell, counterfeit or distribute coupon codes outside the Platform.
- Interfere with, probe, overload or attempt to gain unauthorized access to the Platform, its hardware or its accounts.
- Post or transmit content that is unlawful, defamatory, infringing, deceptive, discriminatory or obscene.
- Use the Platform to violate any marketing, privacy, consumer protection or telemarketing law.
13. Intellectual Property
13.1 The Platform, its software, design, databases, reports, and the AI Merchant Solutions and Neighborhood Advertising Network names, logos and marks are owned by the Company or its licensors and are protected by law.
13.2 You receive a limited, revocable, non exclusive, non transferable license to use the Platform for its intended purpose. No other rights are granted.
13.3 By submitting creative, logos, offers or reviews, you grant the Company a worldwide, royalty free license to host, display, reproduce, format and distribute that content on the network and in Platform marketing for the duration of your relationship with the Company.
14. Third Party Businesses, Links and Services
The Platform displays content from and links to independent businesses and third party services. The Company does not control, endorse or assume responsibility for them, their content, their products, their pricing or their privacy practices. Your dealings with them are solely between you and them.
15. Disclaimer of Warranties
The Platform, the screens, the Offers Pages and all content are provided as is and as available, without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non infringement, accuracy, and any warranty arising from course of dealing or usage of trade. The Company does not warrant that the Platform will be uninterrupted, timely, secure, error free, or that any screen, message or code will display, deliver or scan without fault. Some jurisdictions do not allow certain exclusions, so parts of this Section may not apply to you.
16. Limitation of Liability
16.1 To the maximum extent permitted by law, the Company and its members, managers, officers, employees, contractors and affiliates are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data, or loss of goodwill, arising from or related to the Platform, whether based in contract, tort, statute or otherwise, even if advised of the possibility.
16.2 The total aggregate liability of the Company for all claims arising from or related to the Platform is limited to the greater of the amount you paid the Company in the 3 months before the event giving rise to the claim, or $100.
16.3 The Company is not liable for the acts or omissions of any Advertiser or Host Location, including refusal to honor an Offer.
17. Indemnification
You agree to defend, indemnify and hold harmless the Company and its members, managers, officers, employees, contractors and affiliates from any claim, demand, loss, liability, penalty, judgment, cost or expense, including reasonable attorney fees, arising from your use of the Platform, your content, your Offers, your communications with Consumers, your violation of these Terms, or your violation of any law or the rights of any third party.
18. Suspension and Termination
18.1 You may stop using the Platform at any time and may close your account by contacting mike@aiMerchantSolutions.net.
18.2 The Company may suspend or terminate access at any time, with or without notice, for any violation of these Terms, for suspected fraud, for nonpayment, or to protect the Platform, a Host Location or any user.
18.3 Sections 3.2, 10, 11, 13, 15, 16, 17, 19, 20 and 22 survive termination.
19. Dispute Resolution, Arbitration and Class Action Waiver
19.1 Informal resolution first: Before filing any claim, you agree to contact us at mike@aiMerchantSolutions.net with a written description of the dispute and to allow 30 days to resolve it in good faith.
19.2 Binding arbitration: If the dispute is not resolved, any claim arising from or relating to these Terms or the Platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules as applicable, seated in Palm Beach County, Florida, or by telephone or video at the election of the consumer.
19.3 Class action waiver: All claims must be brought in an individual capacity. You and the Company each waive any right to bring or participate in a class, collective, consolidated or representative action. An arbitrator may not consolidate claims or preside over any form of representative proceeding.
19.4 Exceptions: Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property, confidential information or Platform security.
19.5 Opt out: You may opt out of this arbitration agreement by sending written notice to mike@aiMerchantSolutions.net within 30 days of first accepting these Terms, stating your name, the email or mobile number on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. For any matter not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Palm Beach County, Florida.
21. Changes to These Terms
The Company may update these Terms at any time. The effective date at the top will change and material changes will be posted on the Platform or sent to subscribers. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform and cancel your subscriptions.
22. General
22.1 These Terms, together with the Privacy Policy and any signed agreement or insertion order, are the entire agreement between the parties on this subject. A signed agreement controls if it conflicts with these Terms.
22.2 If any provision is held unenforceable, it is modified to the minimum extent necessary and the rest remains in force.
22.3 Failure to enforce any provision is not a waiver of it.
22.4 You may not assign these Terms without written consent. The Company may assign them to a successor, affiliate or acquirer.
22.5 Nothing in these Terms creates a partnership, joint venture, employment or franchise relationship.
22.6 The Company is not liable for delay or failure caused by events beyond its reasonable control, including utility failure, carrier outage, hardware failure, natural disaster, labor disruption or government action.
